Representative Matters

• Assists in the representation of a leading media and entertainment service provider, as well as leading global providers of engineering and architectural services and windshield repair services, with respect to a wide variety of legal matters, including mergers and acquisitions, corporate governance issues, internal corporate restructurings and general contract matters.
• Assisted in the representation of a publicly held bank holding company with respect to ongoing 1934 Act reporting obligations, compliance with the Sarbanes-Oxley Act of 2002 and related corporate governance matters.
• Assists in the representation of clients with respect to private placements of equity securities and other capital raising transactions.
• Assists in the representation of a wide array of clients with respect to the formation, conversion and governance of corporations, general partnerships, limited partnerships and limited liability companies, as well as the negotiation and documentation of a wide range of shareholder, service, purchase and sale and other agreements between clients and third parties.
