• U.S. securities counsel to Shaw Communications Inc. in connection with the public issuance of senior notes in the United States.
• Counsel to a publicly traded media, entertainment and communications company in connection with its merger with another public company and the registration of publicly traded equity securities as consideration.
• Counsel to an integrated provider of voice, video and data communications services in connection with the public offering of debt securities in a "Rule 144A" offering.
• Counsel to QVC, Inc. in connection with a $1,750,000,000 term loan and revolving credit facility.
• Counsel to a U.S. investor in connection with a ¥140,000,000,000 secured term loan and revolving credit facility.
• Represented the sellers of an investment banking firm in the sale of the firm.
• Represented an international restaurant chain in connection with the raising of capital through the issuance of preferred stock.
