Sherman & Howard Represents ARCADIS in Merger with Malcolm Pirnie

Denver, Colo. - July 23, 2009 - ARCADIS (EURONEXT: ARCAD), the international consultancy, design, engineering and management services company, has completed its merger with Malcolm Pirnie, a White Plains, New York-based company predominantly active in water and environmental consulting and engineering. At closing on July 9, 2009, Malcolm Pirnie became a wholly owned subsidiary of ARCADIS U.S.

Sherman & Howard represented ARCADIS in this merger, which ARCADIS financed by issuing 5.74 million shares to present Malcolm Pirnie shareholders and key employees, in addition to a cash amount of $135 million, for which ARCADIS secured a new debt facility from Rabobank, ING and RBS. Sherman & Howard's Karen Chapman led a team of Sherman & Howard attorneys to represent ARCADIS in this transaction.
